Bylaws

Article I

The name of this organization shall be the Addison United Soccer Club, (hereinafter referred to as AUSC).

Article II

The object of AUSC shall be to promote soccer as a sport, to organize soccer teams, to provide training in the sport of soccer, both youth and adult, and to receive gifts or donations to promote the health, welfare and recreation of the general public through the sport of soccer.

AUSC shall be affiliated with Addison Country, Vermont Soccer Association (VSA), United States Youth Soccer Association (USYSA), and the Federation Internationalle de Football Association (FIFA). Through these affiliations, AUSC becomes the officially sanctioned youth soccer program for the United States.

AUSC is a nonprofit organization.

Article III

Section 1 Members are teams formed by ___________________________.

Section 2 Members must remain in good standing with regard to payment of fees and dues.

Section 3 Membership may be terminated by a two-thirds vote of the eligible votes at a membership meeting.

Article IV

Section 1 The Board of Directors (hereinafter referred to as Officers) shall be composed of ten elected officers and one elected committee chairperson.

Section 2 The Officers of AUSC shall be elected on even or odd years as follows:

A. President                               odd

B. Vice President                      even

C. Treasurer                               odd

D. Secretary                               even

E. Division I Coordinator          odd

F. Division II/III Coordinator      odd

G.  Adult Coordinator                even

H. (4) Members at Large         odd/even

Section 3 All Officers shall be elected by the membership at the Annual Meeting by a majority vote of the members in attendance. All Officers shall serve for a term of two (2) years. No person shall hold more than one office.

Section 4 The duties of the Officers shall be as follows:

A.                The President shall preside at all meetings, shall be in charge of equipment, and shall be General Manager of AUSC.

B.                The Vice President shall act in the absence of the President with the same authority, shall be in charge of the fields, and shall perform other duties as assigned by the membership.

C.                The Treasurer shall receive, disburse, and account for all funds of AUSC which shall be kept in a bank designated by the Officers.

D.                The Secretary shall be responsible for all communications, both internal and external, and shall keep the official records of AUSC including minutes of all meetings.

E.                The Divisional Coordinators shall be responsible for registration of players and coaches, shall be responsible for formation of teams and assignment of team colors.  There shall be three divisional coordinators: one division coordinator for division 1, one division coordinator for division 2/3 and one adult coordinator.

F.        The members at large shall be responsible for representing the interests of the players and their parents.  There shall be four (4) members actively holding this position.  These members shall represent the following age groups.

1.  Over 12 Boys

2.  Over 12 Girls

3.  Under 12 Boys

4.  Under 12 Girls

Section 5 Any Officer failing to attend meetings in such a manner as to consistently cause a quorum to not be established shall have his continued tenure subjected to a vote of the membership in no less than ten nor more than thirty days from the last meeting of Officers where a quorum was not established. Any Office may be removed from office by a two-thirds vote of the membership present at a membership meeting.

Article V

Section 1 Meeting of the membership shall be held at the call of the Officers provided that at least one meeting is held monthly.

Section 2 The meeting normally held in the month of May shall be called the annual meeting and shall be for the election of officers and presentation of the budget.

Section 3 A quorum of Officers is required at all meetings to conduct business. A quorum is defined as three or more Officers present.

Article VI

Committees other than Registration and Rules and Games may be appointed as needed by the President with advice and consent of the Board of Directors for an active life to be specified in the appointment.

Article VII

Section 1 Each Officer shall have one vote with the President voting only to break a tie.

Section 2 Membership voting:  each household shall have one vote.

Article VIII

The fiscal year of AUSC shall be from October to September the following year.

Article IX

These bylaws may be amended by a two-thirds vote of the members provided that the amendment has been presented in writing at the previous meeting.

Article X

The rules contained in the current edition of Roberts Rules of Order shall govern AUSC in all cases in which they are applicable and do not conflict with these bylaws.

Article XI

These bylaws shall be in effect as of the 2nd day of May, 2008.

Amendments

Amendments to the by-Laws shall require a vote of two-thirds of all voting members either in person or by email.
